1. Acceptance of Terms
By accessing the Angelix Solution website (www.angelixsolution.in) or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please discontinue use of the website and contact us before engaging our services.
2. Services
Angelix Solution provides software development, artificial intelligence solutions, web hosting, and related technology services. The specific scope, timeline, deliverables, and pricing for any engagement are defined in a separate project proposal or service agreement signed by both parties.
3. Intellectual Property
3.1 Client Deliverables
Upon receipt of full payment, Angelix Solution transfers full intellectual property rights in the project deliverables (source code, designs, documentation) to the client, unless otherwise agreed in writing.
3.2 Angelix Solution's Pre-Existing IP
Angelix Solution retains ownership of all pre-existing intellectual property, frameworks, libraries, and tools used in the development of client projects. A non-exclusive licence to use such components within the client's deliverable is granted as part of the project.
3.3 Website Content
All content on the Angelix Solution website — including text, images, graphics, and code — is the property of Angelix Solution and may not be reproduced without written permission.
4. Client Responsibilities
The client agrees to:
- Provide accurate and complete information necessary for the project
- Review and provide feedback within agreed timelines
- Make payments according to the agreed schedule
- Not request or expect work outside the agreed project scope without formal amendment
5. Payment Terms
Payment terms are defined in the individual project proposal or service agreement. In general:
- An advance payment is required before project commencement
- Milestone payments are due upon delivery of agreed milestones
- Final payment is due before delivery of final deliverables or go-live
- Late payments may attract interest and may result in work being paused
6. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the engagement, including business strategies, technical specifications, financial information, and client data. This obligation survives the conclusion of the engagement.
7. Limitation of Liability
Angelix Solution's liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific project. We are not liable for indirect, consequential, or incidental damages arising from the use of our services or deliverables.
8. Warranties
Angelix Solution warrants that the deliverables will function in accordance with the agreed specifications at the time of delivery. A warranty period, as defined in the project agreement, covers defect rectification at no additional charge. We do not warrant that software will be free from all errors or that it will operate uninterrupted in all environments.
9. Governing Law
These Terms & Conditions are governed by the laws of India. Any disputes arising from these terms or from project engagements shall be subject to the exclusive jurisdiction of the courts in Bhavnagar, Gujarat, India.
10. Amendments
Angelix Solution reserves the right to update these Terms & Conditions at any time. Continued use of the website following the publication of updated terms constitutes acceptance.
